FMCG major Marico has officially entered into definitive agreements to acquire a 51 per cent controlling stake in Bonorizon Consumer Ventures Private Limited for an aggregate consideration of up to ₹35 crore in an all-cash deal, aligning directly with its broader corporate strategy to significantly strengthen its international business presence. According to an official exchange filing released by the company, Marico will acquire 51 per cent of Bonorizon’s total equity share capital and voting rights primarily through a direct primary subscription route, strictly subject to fulfilling the mutually agreed terms and conditions laid out within the definitive agreements. The filing further detailed that the strategic transaction is slated for completion within a window of 90 days from the date of signing the definitive agreements, provided all customary closing conditions are met satisfactorily. Beyond the initial majority stake purchase, the agreement grants Marico the clear option and right to acquire the remaining equity share capital and full voting rights in Bonorizon after a period of three years from the initial signing date. Marico explicitly noted in its regulatory submission that the final financial consideration for acquiring the balance stake will be calculated and determined at that future juncture, contingent upon the achievement of specific pre-agreed operational milestones, obtaining necessary requisite regulatory approvals, and adhering to all governing terms and conditions established under the framework of the binding transaction agreements.
