HCLTech’s software business HCLSoftware is set to acquire Croatia-based enterprise robotic process automation (RPA) platform provider Robotiq.ai for an enterprise value of 9 million euro, or about Rs 98 crore, in an all-cash transaction. HCL Technologies said the deal will be executed through HCL Technologies Austria GmbH, a step-down wholly owned subsidiary, which will acquire 100 per cent of Robotiq.ai’s outstanding equity. The transaction is expected to be completed by the end of November 2026, subject to customary closing conditions. The acquisition will strengthen HCLSoftware’s capabilities in enterprise automation as businesses increasingly seek AI systems that can not only reason but also execute tasks reliably across complex technology environments. According to HCLTech, integrating Robotiq.ai’s RPA capabilities will enable AI-driven workflows to automate activities in applications where suitable or available application programming interfaces (APIs) are lacking. This could help enterprises extend automation across systems that may otherwise require manual intervention or specialised integration. Zagreb-based Robotiq.ai was incorporated in August 2018 and provides enterprise-grade automation solutions to large organisations, including banks, insurance companies and telecommunications providers. Its platform is designed to support automation within business environments where reliability, speed of deployment and operational control are important requirements. Robotiq.ai Chief Executive Officer and Co-founder Darko Jovisic said the company was founded on the belief that automation should be useful, fast to deploy and reliable in production. He said joining HCLSoftware would provide Robotiq.ai with greater enterprise reach, scale and a broader platform, while allowing customers to use automation as part of an orchestrated and governed process across their organisations. The acquisition comes as enterprises continue to explore ways of combining artificial intelligence with automation to improve the execution of routine and complex business processes. RPA technology can interact with applications and systems to perform predefined tasks, while AI can add capabilities such as reasoning and decision-making to workflows. By bringing these technologies together, companies can seek to automate processes spanning multiple applications, including those without modern APIs. Robotiq.ai has also demonstrated growth in its reported revenue in recent years. For the financial year ended December 31, 2025, the company recorded revenue of 1.4 million euro, up from 0.9 million euro in each of 2024 and 2023. The acquisition will add Robotiq.ai’s technology and enterprise customer base to HCLSoftware as the division expands its focus on AI-powered enterprise solutions. For HCLTech, the transaction represents an investment in automation capabilities aimed at supporting customers across industries such as financial services, insurance and telecommunications. Once completed, Robotiq.ai will become part of HCLSoftware, giving HCLTech access to its RPA technology and expertise as it develops more integrated automation and AI solutions for enterprise customers globally. The move also expands HCLSoftware’s portfolio of tools for enterprise digital transformation.
